Subscription Agreement

Overview

This Subscription Agreement (the "Agreement") governs your use of the services provided by Gradement OÜ ("Gradement," "we," "us," or "our").

For the purposes of this Agreement, a "User" is any individual who accesses the parts of our services that do not require a subscription. A "Subscriber" is any User who has registered for a subscription, provided payment information, and explicitly accepted this Agreement to access our full range of services.

By accessing or using our services, you agree to be bound by the terms and provisions of this Agreement. If you do not agree to these terms, you must not access or use our services. Access by Users constitutes tacit acceptance of this Agreement; registration as a Subscriber requires express acceptance.

Data Use

The data and information provided on this website are for informational purposes only and do not constitute investment advice, an offer to sell, or a solicitation of an offer to buy any securities or other financial instruments. Gradement is not a registered investment advisor. You are solely responsible for your own investment decisions and for evaluating the merits and risks associated with the use of any data obtained from this website. You acknowledge and agree that our services are not intended for professional investors and that you will not use the data provided for any commercial or business purposes.

Disclaimer and Limitation of Liability

Our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Gradement disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that our services will be uninterrupted, error-free, secure, or that the data provided is complete, reliable, current, or accurate. Your use of our services is at your own risk.

All scores and statements published by Gradement are calculated using accounting data, proprietary algorithms, and our own analytical techniques, which are based on the Value Investing philosophy and the Austrian School of Economics. As there are numerous schools of thought in investing, accounting, and economics, Gradement cannot be held responsible for the suitability of its data for any particular User or Subscriber. Gradement's role is limited to calculating financial metrics based on our proprietary criteria. This information is not investment or tax advice.

In no event shall Gradement, its directors, employees, or agents be liable to any User or Subscriber for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to investment losses, loss of profits, or data, arising from the use of, or inability to use, our services or any content published on our website.

Eligibility

This website and its services are intended for use by natural persons only. You must be at least 18 years old to use this website and its services. By using this website and its services, you represent and warrant that you are a natural person and meet all the eligibility requirements. If you do not meet these requirements, you must not access or use this website and its services.

Intellectual Property

The app/website and its original content, features, and functionality are owned by Gradement and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your access to Gradement grants you a limited, non-exclusive, non-transferable license to use the service for personal, non-commercial purposes. This Agreement does not grant you any ownership rights or rights to the commercial use of the information, text, images, logos, trademarks, source code, or any other content on the app/website.

Our website may contain links to third-party websites that are not owned or controlled by Gradement. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. The inclusion of any link does not imply endorsement by Gradement.

You may link to our homepage, provided you do so in a way that is fair, legal, and does not damage our reputation or take advantage of it. You must not:

  • Establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists.
  • Use deep-linking, in-line linking (hotlinking), or framing of our site on any other site for commercial purposes without our prior express written authorization.
  • Make any false, inaccurate, or incorrect statements about Gradement or its services.
  • The existence of a link does not imply a commercial relationship between Gradement and the owner of the linking page.

Service Availability

Gradement will strive to offer its services on an uninterrupted basis, 24 hours a day, 365 days a year, except for scheduled maintenance or events of force majeure.

Scheduled maintenance will, whenever possible, be conducted during weekends, between Saturday 08:00 UTC and Sunday 24:00 UTC.

Subscriptions

Subscriptions are offered on a monthly or annual basis. They are prepaid, automatically renewable, and have no minimum term of commitment.

Registration Data and Payments

Change of Residence

If you change your country of residence, you must update your tax residence data in your Gradement account to ensure the correct Value-Added Tax (VAT) is applied to your invoices. Subscribers are responsible for promptly updating this information.

Payment Methods

You can make payments using PayPal or any other credit/debit card listed on our sign-up page.

A failure to process a monthly or yearly payment will result in the temporary suspension of access to paid services until the payment issue is resolved.

Subscription Cancellation

Upon Subscriber Request

You may cancel your subscription at any time. From that point forward, no further charges will be applied to your PayPal or debit/credit card account.

Subscribers will continue to have access to Gradement until the end of their current monthly or annual subscription period.

Termination by Gradement

We reserve the right to suspend or terminate your subscription if we believe, in our sole discretion, that you have breached any terms of this Agreement. Termination will typically be reserved for serious breaches. For minor breaches, we may contact you to report the issue and request corrective action.

Modifications to the Agreement

Gradement reserves the right to modify the terms of this Agreement at any time. We will notify Subscribers of any material changes via email at least 30 days before they take effect. The updated Agreement will also be published on our website.

Your continued use of the service after the effective date of the changes constitutes your acceptance of the modified Agreement.

Governing Law and Jurisdiction

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Republic of Estonia. You agree to submit to the exclusive jurisdiction of the courts of Tallinn, Estonia to resolve any legal matter arising from this Agreement.

Entire Agreement: This Agreement, together with the Privacy Policy and Cookies Policy, constitutes the entire agreement between you and Gradement regarding your use of our services, superseding any prior agreements.

Severability: If any provision of this Agreement is held to be invalid or unenforceable by a court, the remaining provisions of this Agreement will remain in effect.

Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Gradement's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
