Subscription Agreement

Overview

This agreement includes the terms in which Gradement OÜ (henceforth simply Gradement, us, or the company) offers its services to users and subscribers. Throughout the document the term user will refer to any person who accesses the part of our services that does not require any subscription or payment. By the term subscriber we will refer to all users who, having registered information about its payment method and explicitly accepted these conditions, have access to all the services offered by Gradement.

By accessing and using our services, either as a subscriber or user, you agree to be bound by the terms and provisions of this agreement. All access to our services will constitute tacit acceptance (in the case of users) or express acceptance (for subscribers) of this agreement.

Data Use

The data provided by you on this website is for informational purposes only and does not constitute investment advice or an offer to sell or a solicitation of an offer to buy any securities or other financial instruments. You are solely responsible for your own investment decisions and the use of any data obtained from this website. You acknowledge and agree that this website and its services are not intended for professional investors and that you will not use the data provided by this website for any commercial or business purposes.

This website and its services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to warranties fitness for a particular purpose, non-infringement, or accuracy. All scores, factors and statements published by Gradement are calculated using accounting data, proprietary algorithms and state-of-the-art accounting analysis techniques based on the Value Investing philosophy and within the framework of the Austrian School of Economics. Since there are many schools and investing, accounting and economic philosophies, Gradement cannot be held responsible for the suitability of such data for the user or subscriber.

Also, Gradement does not guarantee the reliability or accuracy of the information supplied and will not be held responsible for any interruption of the service or errors in the calculation of the published data. Gradement limits itself to calculating scores, factors and financial statements for the covered companies based on its accounting data based on our own criteria. This information is not intended to be investment or tax advice on any specific company.

In no event shall Gradement be liable to any user or subscriber for any damages of any kind arising out of the use of any content published on Gradement, including any investment losses.

Elegibility

This website and its services are intended for use by natural persons only. You must be at least 18 years old to use this website and its services. By using this website and its services, you represent and warrant that you are a natural person and meet all the eligibility requirements. If you do not meet these requirements, you must not access or use this website and its services.

Intelectual Property

The app/website and its original content, features and functionality, are owned by Gradement and are protected by international copyright, trademarks, patents, trade secrets and all intellectual proprietary laws or property rights in force. Access to Gradement does not give the user or subscriber any rights over the ownership or commercial use of the information supplied, texts, images, logos, distinctive signs, animations, source code and other content included on the app/website.

The Gradement app/website may contain links to different websites controlled and managed by third parties. Any link to other websites does not imply any commercial relationship or endorsement or approval of such websites and you acknowledge and agree that we are not responsible for the content or availability of such sites.

On the other hand, any link from the web of a third party to Gradement should comply with the following considerations:

  • Gradement is not responsible for the services or content made available to the public on the website from which the link is made
  • The total or partial reproduction for commercial purposes, without the prior express authorization of Gradement, in the page from which the linking is made, of any of our services or contents, is not allowed
  • The creation of deep links, img links or frame links to any URL of the Gradement site for commercial purposes, without prior express authorization of Gradement, is not allowed
  • No false, inaccurate or incorrect statement about Gradement, or it's services and contents shall be made from de page from wich the link to Gradement is made
  • The existence of a link from another web page will not imply the existence of a commercial relationship between Gradement and the owner of that page

Service Interruptions

Gradement will offer its services, except for maintenance or force majeure reasons, in an uninterrupted manner 24 hours a day, every day of the year.

In cases where a scheduled service interruption is required due to error or maintenance, the initial schedule for such interruption will be on weekends from 8:00 a.m. on Saturday to 24:00 hours UTC on Sunday.

Subscriptions

The subscription is monthly or annual, prepaid, automatically renewable and with no minimum period of permanence.

Change in Registration Data

Changes Of Residence

If you change your country of residence, you must also change your tax residence data registered in Gradement in order to apply the correct VAT tax in your monthly invoices.

Subscribers must inform Gradement of any change of tax residence as soon as possible.

Payment Methods

You can make the payments associated with your subscription using PayPal or any other credit/debit card listed in our sign up page.

An error in any of the monthly or yearly charges will result in the temporary loss of access to Gradement until the problem that caused the payment error would be resolved.

Subscription Cancellation

Upon Subscriber Request

You may cancel your subscription at any time. From that point forward, no further charges will be applied to your PayPal or debit/credit card account.

Subscribers will continue to have access to Gradement until the end of their current monthly or annual subscription period.

Upon Gradement Request

If, for any reason, we believe that you have breached any of the terms of this agreement, we may temporarily or definitively suspend your subscription. This temporary or definitive termination shall be reserved only for the most serious breaches of the agreement. In any other case we will contact the subscriber to report the breach and urge him to act according to the terms and conditions of its subscription.

Modifications to the Agreement

The terms of this subscription agreement may be modified by Gradement. All changes will be published and communicated by e-mail to all subscribers at least 30 days prior to the entry into force of the new agreement terms.

The non-cancellation of the subscription following any modification of this agreement implies the acceptance of the changes in the terms of the moddified service terms and subscription agreement.
